Terms of Service

1. Eligibility and Account Registration

You must be at least 18 years of age and have authority to bind the organization you represent. By registering, you represent that all information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@avvyd.ai if you suspect unauthorized access.

2. Subscription Plans and Billing

2.1 Plans

BiD is offered under the following plans as currently published on the BiD pricing page:

• Free — Limited to 25 opportunities, 10 total AI credits, 1 seat — no time limit
• Starter — $99/month (or $79/month billed annually) — 1 seat, 50 AI credits/month, unlimited opportunities
• Team — $199/month (or $159/month billed annually) — 5 seats, 200 AI credits/month
• Growth — $349/month (or $279/month billed annually) — 15 seats, unlimited AI credits
• Enterprise — Custom pricing — contact sales@avvyd.ai

Plan features and pricing are subject to change. We will provide at least 30 days' advance notice of price changes to active subscribers.

2.2 Free Trial

New paid plan subscriptions include a 14-day free trial. No credit card is required to start a trial. Trial accounts receive 10 AI credits. At the end of the trial, you must select a paid plan or your account automatically moves to the Free tier.

2.3 Payment and Auto-Renewal

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By providing payment information, you authorize us to charge your payment method on each billing date. Subscriptions automatically renew unless cancelled before the renewal date. All fees are non-refundable except as required by law or as expressly stated in these Terms.

2.4 AI Credits

AI-powered features (document extraction, MRAS workflows, Q&A generation, capabilities statement generation, spreadsheet import with AI mapping) consume AI credits. Credits reset monthly for paid plans. Credits do not carry over. Unused credits at the end of a billing cycle are forfeited. The Free tier includes 10 lifetime credits.

2.5 Cancellation

You may cancel your subscription at any time through the billing portal accessible within BiD. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the period ends, after which your account moves to the Free tier. Your data is not deleted upon cancellation.

2.6 Overdue Accounts

If payment fails, we will notify you and attempt to reprocess. Accounts more than 14 days past due may have service suspended. We will restore service upon receipt of payment.

3. Use of the Service

3.1 Permitted Use

BiD is a business development pipeline tool for government contractors. You may use BiD for your organization's lawful internal business development purposes, including tracking contracting opportunities, managing pipelines, and using AI features to support proposal and BD activities.

3.2 Prohibited Uses

You agree not to:

• Use BiD for any unlawful purpose or in violation of applicable law
• Attempt to reverse engineer, decompile, disassemble, or derive the source code of BiD
• Access BiD in a manner that could damage, disable, or impair the Service or interfere with other users
• Use automated scripts, bots, or scrapers to access BiD without our prior written consent
• Upload malicious code, viruses, or files designed to cause damage
• Use BiD to store, transmit, or process classified government information
• Resell, sublicense, or offer BiD as a service to third parties without our written authorization
• Circumvent or attempt to circumvent AI credit limits or plan restrictions

3.3 SAM.gov API Usage

The SAM.gov opportunity import feature requires a SAM.gov API key issued to you by the U.S. General Services Administration. Your use of that API key is governed by SAM.gov's terms. You are responsible for obtaining and maintaining a valid API key and for your compliance with SAM.gov's usage policies.

4. Intellectual Property

BiD and all underlying technology, code, interfaces, documentation, and AI models are the exclusive property of Avvyd Solutions LLC. These Terms do not transfer any ownership interest to you. All rights not expressly granted are reserved.

You retain ownership of all data, documents, and content you upload or create within BiD ("Customer Data"). By uploading Customer Data, you grant Avvyd a limited license to store, process, and transmit that data solely as necessary to provide the Service.

5. Your Data

We will handle your Customer Data in accordance with our Privacy Policy. You are responsible for ensuring that your use of BiD and the data you upload complies with applicable laws, including export controls. You represent that you have all necessary rights to upload and process any data you submit to BiD.

Important: BiD is not authorized to store classified information, Controlled Unclassified Information (CUI), or government data with restricted handling requirements. Do not upload such information.

6. Confidentiality

Each party agrees to protect the other's confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Avvyd will not disclose your pipeline data or uploaded documents to third parties except as described in the Privacy Policy. You agree not to disclose non-public information about BiD's technology or business to third parties.

9. Indemnification

You agree to indemnify, defend, and hold harmless Avvyd Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of BiD; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any third-party rights.

10. Term and Termination

These Terms are effective from the date you first access BiD and continue until terminated. Avvyd may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts owed, or engage in conduct that threatens the security or integrity of the Service. You may terminate by cancelling your subscription and ceasing all use.

Upon termination, the license granted herein expires and you must cease use of the Service. Provisions that by their nature should survive (including Sections 4, 7, 8, 9, 11) shall survive termination. Your data is not automatically deleted upon termination — see Section 5 and our Privacy Policy.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to conflicts of law principles. Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Jackson County, Missouri, and you consent to the personal jurisdiction of such courts.

12. General Provisions

These Terms, together with our Privacy Policy, Acceptable Use Policy, and EULA, constitute the entire agreement between you and Avvyd with respect to BiD and supersede all prior agreements. If any provision is found invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
